Terms of Service

1. Agreement

By engaging ThePixelBrain for software development services or by using our website (thepixelbrain.com), you agree to these Terms of Service. If you do not agree, please do not use our services. These terms govern all client engagements, project proposals, and website use.

2. Services

ThePixelBrain provides custom software development including web applications, mobile apps, AI integration, and industry-specific products (Dental HMS, Warehouse Management System, Solar CRM). Specific scope, deliverables, timelines, and pricing are defined in individual project proposals and contracts.

3. Payment Terms

• All projects are milestone-based with payment schedules defined in the project contract.
• A deposit (typically 30–50%) is required before development begins.
• Payments are due within 7 days of invoice date unless otherwise agreed in writing.
• Late payments may incur a 2% monthly interest charge.
• All prices are in USD unless otherwise specified. Bank transfer and PayPal are accepted.

4. Intellectual Property

Upon receipt of full payment, the client owns all custom code, designs, and deliverables created specifically for their project. ThePixelBrain retains rights to general frameworks, tooling, and non-client-specific code components. We reserve the right to reference completed work in our portfolio unless the client requests otherwise in writing.

5. Confidentiality

Both parties agree to keep project-specific technical details, business processes, and proprietary information confidential. We sign NDAs upon request. Client data is never shared with third parties.

6. Project Changes & Scope

Any changes to agreed project scope must be submitted in writing and may result in revised pricing and timelines. We follow an agreed change-request process outlined in each project contract. Out-of-scope work will not be started without written approval.

7. Warranties & Liability

We warrant that deliverables will function as specified for 30 days after handover (bug-fix warranty). Beyond this period, ongoing support is available under a separate support agreement. Our total liability is limited to the amount paid for the specific project milestone in question. We are not liable for indirect, consequential, or loss-of-business damages.

8. Termination

Either party may terminate a project with 14 days written notice. The client is liable for payment of all completed milestones and work-in-progress at a prorated rate. ThePixelBrain will deliver all completed work and hand over code and assets upon termination.

9. Governing Law

These terms are governed by the laws of India. Any disputes shall be subject to the jurisdiction of courts in Pune, Maharashtra, India. For international clients, we are open to agreed-upon arbitration.
